1. Introduction and scope

These Terms and Conditions govern your access to and use of the website and any services or digital products offered through it. By using the website you accept these Terms.
2. Who these Terms apply to
These Terms apply to both business customers (B2B) and consumers (B2C). Where a clause is subject to mandatory consumer protection law it will not limit or exclude consumer statutory rights. For clarity, the commercial liability cap in Section 11 applies to B2B customers only.
3. Services, products and payments
Syniad provides professional services and digital products and will offer physical products such as books in future.
Payments are not currently taken on the site. When payments are enabled the site will accept bank transfer and card payments.
If you purchase a paid appointment or other paid service you will receive an order confirmation and these Terms will apply to that purchase.
4. Refunds and cancellations
If you are not satisfied with a service you may request a refund within 30 days of delivery. Refunds will be issued by bank transfer or card refund to the original payer.
Digital products and services are subject to consumer rights; refunds for digital content supplied with the consumer’s consent and downloaded or streamed may be limited by law.

All content on the website is owned by Syniad CI Ltd. or its licensors. All rights are reserved.
You may view and download content for your personal, non-commercial use only. You must not copy, republish, sell, sub-license, reproduce, duplicate, or redistribute content without prior written permission.
6. User content and moderation
The website is not open for public posting of third-party content. All site content will be created and published by Syniad.
If any user-submitted content is accepted in future, Syniad will require that the submitter warrants they have the rights to post the content and grants Syniad a non-exclusive licence to use, reproduce, edit and authorise others to use the content.
Syniad operates an automated takedown process and a repeat infringer policy. Notices will be acknowledged and processed within 72 hours. See the takedown procedure below for the notice format and steps.
7. Hyperlinking and external links
Permission to link to the website is granted in accordance with the linking policy set out on the site. No use of Syniad’s logo or artwork is permitted without a trademark licence agreement.
8. Warranties and disclaimers
Syniad provides the website and its content on an “as is” basis. To the maximum extent permitted by law Syniad excludes all warranties and conditions relating to the website and its use.
Nothing in these Terms excludes liability for death or personal injury caused by Syniad’s negligence or for fraud or fraudulent misrepresentation.
9. Confidentiality
Syniad will treat information received from business clients as confidential and will not disclose it except as required by law or with the client’s consent.
10. Termination
Syniad may suspend or terminate access to the website or services for breach of these Terms or for technical or security reasons. Termination does not affect accrued rights or liabilities.
11. Liability, indemnity and insurance (B2B)
For business customers Syniad’s aggregate liability for direct loss arising under or in connection with these Terms is limited to the fees paid by the customer to Syniad under the relevant contract in the 12 months preceding the claim.
The liability cap does not apply to liability for death or personal injury, fraud, wilful misconduct, or any other liability that cannot be limited by law.
Syniad maintains professional indemnity insurance of £500,000 and public liability insurance of £1,000,000.
You agree to indemnify Syniad against any losses, damages, liabilities, costs and expenses arising from your breach of these Terms or your unlawful use of the website or our intellectual property.
12. Changes to Terms
Syniad may amend these Terms at any time. Continued use of the website after changes are posted constitutes acceptance of the updated Terms.
13. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
